Unanimous approval from the TIM board of directors for the Public Offer for Purchase and Exchange (Opas) promoted by Poste Italiane. This is not merely a financial agreement, but a step aimed at deeply redefining the balances of the telecommunications sector in Italy.

The offer recognizes a compensation of 1.67 euros in cash plus 0.218 ordinary Poste shares for each TIM share, a value recalculated after the share consolidation in mid-June 2026.

For the board led by Alberta Figari, supported by leading advisors such as Kearney, Evercore, and Goldman Sachs, the price is not only “fair” from an economic perspective but also consistent and defensible from an industrial standpoint.

The focal point of the operation is the long-term vision. Poste Italiane, which had already built a stake of over 27% in TIM's capital by 2025, is not solely aiming for control of a telecommunications operator.

The goal, as stated by Matteo Del Fante, is the creation of a “platform company”, capable of combining TIM's connectivity with the extensive network of nearly 13,000 post offices and with digital services aimed at over 19 million customers.
