RRP Electronics has signed a Memorandum of Understanding and Term Sheet for the strategic acquisition of Vital Electronics, a leading Electronics Manufacturing Services company.Under the agreed roadmap, RRP Electronics plans to acquire 100 per cent equity in Vital Electronics in four tranches, with 50 per cent ownership targeted by March 2027 and the complete acquisition by March 2028, subject to the fulfilment of agreed milestones and regulatory approvals.Following the completion of the acquisition, RRP intends to integrate and merge MS Vital Electronics with one of the listed entities in the RRP Group, subject to the necessary corporate, statutory, and regulatory approvals.The proposed acquisition complements RRP Electronics’ OSAT (Outsourced Semiconductor Assembly and Test) and ATMP (Assembly, Testing, Marking and Packaging) capabilities by extending its presence beyond semiconductor packaging into complete electronic system manufacturing.Vital Electronics is an established Electronics Manufacturing Services company providing end-to-end contract manufacturing solutions, including printed circuit board assembly (PCBA), Surface Mount Technology (SMT), electromechanical assembly, concurrent engineering, strategic sourcing, testing, system integration, custom-designed packaging, and complete box-build solutions.The acquisition will create a seamless manufacturing value chain—from semiconductor packaging to fully assembled electronic products. While RRP Electronics manufactures and packages semiconductor devices, Vital Electronics will integrate these chips onto printed circuit boards and manufacture complete electronic systems for customers across defence, automotive, industrial, telecom, consumer electronics and other high-growth sectors.RRP Electronics sees ₹90 crore revenue in its order book over the next three years.Published on August 6, 2026
