Intercontinental Exchange, the parent company of the New York Stock Exchange, just agreed to buy electronic bond trading platform MarketAxess for roughly $6 billion in cash. The deal values MarketAxess at $167 per share, a 33% premium over its closing price on July 29.

What the deal looks like

The transaction carries an equity value of approximately $6.0 billion and an enterprise value of $5.7 billion. Both companies’ boards unanimously approved the acquisition, which is expected to close in the first half of 2027 pending stockholder and regulatory sign-off.

ICE projects the deal will generate about $100 million in annual run-rate expense synergies within three years. It’s also expected to be accretive to ICE’s adjusted earnings per share in the first full year after closing.

To sweeten things for its own shareholders, ICE plans to raise its share repurchase baseline to $400 million per quarter following the acquisition.
