The all-cash deal could rise to $1.55 billion with contingent payments and is expected to close before year-end

Analog Devices $ADI announced an agreement to acquire Alif Semiconductor for $1.35 billion in cash on Wednesday, adding the California-based edge AI chipmaker's microcontrollers and fusion processors to its portfolio.
The deal calls for Analog Devices to hand Alif stockholders $1.35 billion at closing, with a further earn-out of as much as $200 million available depending on contingencies, the company said. Directors at each company have signed off on the deal, which must still clear Hart-Scott-Rodino antitrust review before it can wrap up, a process Analog Devices anticipates completing by the end of 2026.
