Capricor Therapeutics Inc. (NASDAQ:CAPR) faces heightened shareholder pressure as investment firm Kaos Capital Ltd. on Friday issued a formal letter requesting an immediate meeting with the board of directors to demand a comprehensive governance reset, aggressive cash preservation measures, and a strategic realignment.

Kaos Capital intends to nominate two independent director candidates and establish an M&A and Strategic Alternatives Committee chaired by a shareholder-backed director to steer the company away from relying solely on its lead asset, deramiocel.

Capricor Therapeutics’ Soaring Expenses Spark Cash Preservation Push

Kaos Capital highlighted significant spending concerns, noting that Capricor reported $237.9 million in cash, cash equivalents, and marketable securities as of June 30, 2026—marking an $80.2 million reduction from year-end 2025.

Total operating expenses reached $79.7 million during the first half of 2026, driven by $23.5 million in general and administrative expenses, which roughly doubled compared to the same period in 2025.
