Lattice Announces Inducement Grants Under Nasdaq Listing Rule 5635(c)(4)

Lattice Semiconductor (NASDAQ: LSCC), the low power programmable leader, announced that the Compensation Committee of Lattice’s Board of Directors approved the grant of time-based restricted stock unit awards (“RSUs”) and performance-based restricted stock unit awards (“PRSUs”) covering an aggregate of 414,563 shares of its common stock to 1,344 new employees under Lattice’s 2025 Inducement Equity Incentive Plan (the “Inducement Plan”). Each award was granted on August 10, 2026 (the “Grant Date”) as an inducement material to the employee’s commencement of employment with Lattice pursuant to Nasdaq Listing Rule 5635(c)(4), including 389,513 RSUs and PRSUs granted to 1,299 employees in connection with Lattice’s acquisition of AMI.

358,371 RSUs will vest over three years, with 1/3rd of the RSUs subject to the award vesting on the one-year anniversary of the Grant Date, and an additional 1/12th of the RSUs subject to the award vesting on each successive three-month anniversary thereafter, and 40,621 RSUs will vest over four years, with 1/4th of the RSUs subject to the award vesting on the one-year anniversary of the Grant Date, and an additional 1/16th of the RSUs subject to the award vesting on each successive three-month anniversary thereafter. The 15,571 PRSUs will vest based upon Lattice’s total shareholder return relative to the companies in the Russell 3000 Index, with 1/3rd of the PRSUs tested for vesting on each of the first, second and third annual anniversaries of the Grant Date and the PRSUs will have a multiplier provision up to 200% in the event of extraordinary performance. Each award is subject to the terms and conditions of the Inducement Plan and the grant agreements covering the awards, and vesting is subject to the recipient continuing to provide services on the applicable vesting date and subject to any accelerated vesting provisions contained in any letter agreement between the recipient and Lattice.
