Jeff Bezos has filed to sell 15 million shares of Amazon common stock, a stake worth roughly four billion dollars based on the company’s closing price on Monday. The filing, a Form 144 submitted to the Securities and Exchange Commission, disclosed that the sales would be executed through Morgan Stanley under a pre-arranged Rule 10b5-1 trading plan adopted on 14 November 2025.

The disposal is Bezos’s first major sale since late 2024 and arrives days after Amazon became the fifth company in history to reach a three trillion dollar market capitalisation. Shares climbed above the milestone on 3 August after the company delivered a Q2 earnings beat that sent the stock up roughly 20 percent year to date, outpacing the S&P 500’s 12 percent gain over the same period.

The shares Bezos is selling are founder stock he has held since incorporating the company in 1994. Even after the sale, he will remain Amazon’s largest individual shareholder by a wide margin.

Amazon’s second-quarter results, reported last week, showed total revenue of more than $200 billion and operating income up 43 percent to roughly $27 billion. AWS, the cloud division, grew 37 percent to over $42 billion in revenue, its fastest quarterly expansion in more than two years. The company raised its full-year capital expenditure guidance to $220 billion, up from $200 billion, as it races to build data centre capacity for surging AI and cloud demand.
