Nuvve Holding Corp.

(NASDAQ:NVVE) shares soared 23.90% to $8.76 in after-hours trading following a Securities and Exchange Commission (SEC) disclosure that the California-based green energy technology company terminated its warrant exchange and registration rights agreements, both dated May 12.

Dilution Relief According to the Tuesday SEC filing, the deal, which got canceled last week, would have swapped warrants for roughly 13.1 million common shares.

The cancellation also eliminates a planned amendment to the Series A Preferred Stock's conversion terms, which would have removed the requirement for a stockholder vote, and invalidates a related resale registration statement that would have covered the shares issued in the exchange.
