Emcure subsidiary Gennova Biopharmaceuticals has formalised an agreement to transfer its mRNA business as a going concern on a slump sale basis to Immunoscript Life Science Private Limited, for ₹139 crore. Gennova was in the spotlight during Covid-19 for bringing out India’s only mRNA vaccine.Explaining the rationale of the sale, Emcure said, “the transfer of mRNA business is part of Gennova’s strategic initiative to reorganise its business operations and focus on core areas – research and development, manufacturing and marketing of biotechnology based products including biosimilars and adjacent therapeutic platforms.” The transaction is expected to be completed by July 17,2026.Gennova, a ₹49-crore company, is involved in research and development, manufacturing and marketing of biotechnology-based products. The mRNA business, at ₹6.47 crore, represents 0.71 per cent of consolidated revenue of the company of ₹911.58 crore, Emcure said. The slump sale does not form part of any Scheme of Arrangement and is being undertaken pursuant to the BTA, the company told BSE.Immunoscript is a recently incorporated company (April 2026), promoted by Gennova’s former director Sanjay Singh. It is focused on precision immunology, and looking at integrating biological engineering, artificial intelligence, and scalable biomanufacturing technologies to accelerate the development of next-generation vaccines and advanced therapeutics for precision healthcare, the company said.Published on July 11, 2026
