Nuveen Churchill Direct Lending Corp. Prices Public Offering of Additional $100.0 Million 6.650% Notes Due 2030
Nuveen Churchill Direct Lending Corp. (the “Company,” “we,” “us” or “our”) (NYSE: NCDL) today announced that it has priced an underwritten public offering of an additional $100.0 million in aggregate principal amount of its 6.650% unsecured notes due 2030 (the “Notes”). The Notes will be issued at a price of 100.123% of the aggregate principal amount of the Notes.
Purchasers will be required to pay accrued and unpaid interest on the Notes from March 15, 2026 up to, but not including, the date of delivery of the Notes.
The Notes will constitute a further issuance of, have the same terms (except for the issue date, the offering price and the initial interest payment date) as, rank equally in right of payment with, and be fungible and form a single series with the $300.0 million in aggregate principal amount of the 6.650% notes due 2030 that the Company initially issued on January 22, 2025. Upon the issuance of the Notes, the outstanding aggregate principal amount of the Company’s 6.650% notes due 2030 will be $400.0 million.
The Notes will mature on March 15, 2030, and may be redeemed in whole or in part at the Company’s option at any time prior to February 15, 2030, at par plus a “make-whole” premium plus accrued interest. The Notes bear interest at a rate of 6.650% per year payable semi-annually on March 15 and September 15 of each year.
